As a member of Gould & Ratner’s Corporate Practice, Chris McCall develops and implements pragmatic and efficient solutions to complex problems while helping clients achieve their business objectives and avoid unnecessary risks.

He advises and represents entrepreneurs, startups, emerging growth and established private companies, venture capital funds, and family offices on equity and debt financings, capital raises and securities issuances, mergers and acquisitions, entity selection and formation, complex commercial contracting, intellectual property matters, employment agreements, compliance, and nuanced regulatory matters. He has deep experience working with companies and investors to navigate and execute traditional preferred equity financings, as well as debt rounds, convertible notes, SAFEs, and warrants.

Given his substantial experience in the boardroom, in the courtroom, and as the former Chief Legal Officer for a large, emerging growth company with significant domestic and international operations, Chris regularly serves as—and is sought after to provide—outside general counsel representation to companies on corporate governance, conflicts and fiduciary duties, employment, procurement, intellectual property, operational, and other general corporate issues. His clients include technology, health care, software, investment, manufacturing, cannabis, alcohol and beverage, consumer packaged goods, and real estate companies. In his role as a fractional or outsourced general counsel, he helps companies, boards, and executive leadership teams design and implement thoughtful and practical plans to address significant legal issues in a manner that facilitates, rather than impedes, strategic growth, capital raising, partnerships and joint ventures, and liquidity events.

Chris started his legal career at an international law firm in Washington, D.C. representing government contractors, technology companies, and health care firms in a broad array of corporate, commercial, and regulatory matters. He then moved to Denver, Colorado, where he practiced commercial litigation at a national litigation boutique and then served as the Chief Legal Officer for one of the largest CBD companies in the world. Immediately prior to joining Gould & Ratner, Chris was a partner at a Denver-based law firm.

Chris earned his Bachelor’s degree from the University of Virginia and his law degree from Georgetown University Law Center, where he graduated magna cum laude.  After law school, he served as a judicial law clerk to the Honorable Susan G. Braden of the United States Court of Federal Claims.
